These are the terms and conditions under which Supernova Learning Solutions Limited (‘Supernova) agrees to supply, and its Customer (‘Customer’), defined as the organisation described on the order form, agrees to pay for, Supernova’s training materials (‘Materials’).
1. Use of the Materials
a) The copyright in the Materials remains vested in Supernova and its licensors.
b) The Materials may not be copied, duplicated, edited or amended in any way, unless stated specifically within the Materials themselves, or with the advance written approval of Supernova.
c) The Materials are supplied on condition that they are only to be used by the Customer for the training of its employees. In the case of a training consultant, the materials may be used with the Customer’s clients as long as the Materials remain in the Customer’s direct control at all times.
d) The Materials are not to be shown in public or to fee paying audiences.
e) The Materials may be shown only on a single TV or computer screen at any one time. They may not be transmitted by any means, or distributed on any kind of electronic network, without the advance written consent of Supernova.
f) The Customer may not loan, hire, lease or re-sell the Materials.
2. Prices
a) Prices are in sterling unless otherwise stated.
b) Prices do not include VAT.
c) Prices do not include delivery and an additional charge will be made. This will be based upon delivery by parcel post within the UK. Delivery elsewhere or by different methods will be at additional cost.
3. Orders and Payment
a) Orders will only be accepted if payment is made in advance, or on receipt of an order signed by an authorised representative of the Customer.
b) Supernova reserves the right not to provide credit.
c) Payment must be made within 30 days of the invoice date, after which interest may be charged on any outstanding balance until paid.
d) The Materials remain the property of Supernova until payment has been received.
e) The Materials will be deemed to have been delivered within two days of their dispatch date.
4. Approval period
a) The Materials are provided on a 7 day approval period for the purpose of evaluation. The Customer will be deemed to have accepted the Materials and must pay the invoice, unless the Materials are returned undamaged by the Customer within 7 days of their receiving them.
b) The Materials are returned at the Customer’s expense.
5. Replacement
a) Supernova will replace any damaged or worn out copies when returned for a nominal charge as and when stocks permit.
6. Liability
a) Supernova will not be liable in any way for any loss or damage to the Customer connected with the supply of the Materials. Nor will Supernova be liable in any way for the consequences of the late delivery or non-delivery of the Materials.
b) Supernova will not be liable for any loss or damage to the Customer caused by force majeure.
